SETTING UP A COMPANY IN ANGUILLA

A company is defined by Investopedia.com as “A legal entity formed by a group of individuals to engage in and operate a business—commercial or industrial—enterprise.”

In Anguilla, a company must be incorporated through a local company manager. Company managers will request due diligencedocuments and additional documents if necessary to conduct an evaluation on the background of the owners. Once the companymanager is satisfied with the documents provided, they will proceed with the incorporation process. Companies will beincorporated using the Anguilla Commercial Online Registry Network (ACORN) system. If the company wishes to conduct business in Anguilla, the owners must apply for a business license from the Ministry of Finance of the Government of Anguilla.

The companies that can be incorporated in Anguilla include: Ordinary Companies, Limited Liability Companies (LLC), International Business Companies (IBC). The Government of Anguilla will require owners to complete the necessary business application form and provide a number of required documents. Such documents may include but are not limited to – business plans, police records and proof of character. Business licenses are approved per the Government’s discretion. Fees for business licenses in Anguilla range in price based on the type of business being conducted by the company.  Business license fees are due on or before January 31st  each year and are paid directly to the Government of Anguilla. Annual Return fees for the company are due annually on the date of incorporation of the company.
